Ovrtone Get Ovrtone

Terms

Terms

The license, the plans, and what you can do with Ovrtone.

Effective October 26, 2026. These terms are between you and Cooper and Co. Technology LLC (“we”, “us”), which makes Ovrtone. They cover the Ovrtone app for macOS, Ovrtone accounts, the license, the plans, top-ups and Ovrtone’s engineer. By buying, subscribing to or using Ovrtone, you agree to them. Our privacy policy says what we collect and why. Questions: support@ovrtone.app.

The short version

The license

The license costs $149, paid once, plus tax where it applies, and includes plugin building. It lets you use the major version of Ovrtone that’s current when you get it (1.x today), with every update to that version. Later major versions are a separate upgrade. We’ll keep making compatibility and security fixes for 1.x for at least 24 months after the next major version comes out.

With the license, Ovrtone’s engineer runs on your own AI: an account or API key you have with an AI provider that Ovrtone supports (the app shows which, and the list can change). Your use of that provider’s service is under your own agreement with it, with its prices and limits; we don’t control it and can’t promise it stays available. The rest of Ovrtone works without it. A license holder can also buy a plan, at the same price as anyone, or top-ups.

Plans

A plan is a subscription to Ovrtone with Ovrtone’s engineer, running on our account with no keys or setup. Ovrtone is included while you subscribe. The engineer on our account runs on Moonshot AI’s Kimi models, and asks you once, before your first request, to agree that your messages and project details are processed on Moonshot’s servers; our privacy policy says why.

Prices are plus tax where it applies; a yearly plan costs the same as ten months. A session is about 40 requests to the engineer, such as building a vocal chain or a mix pass; building a plugin uses about three. Session counts are estimates: each plan has a monthly allowance of the engineer, and the app shows what’s left. When it’s used up, the engineer waits until your next month starts or you top up; it never charges you extra on its own, and the rest of Ovrtone keeps working. Each of the engineer’s replies can be up to 32,000 tokens long (roughly 24,000 words), and an account can have two requests running at once. We choose the AI models that run the engineer and may change them; today they’re Moonshot AI’s Kimi models. Our privacy policy says what the engineer sends to Moonshot and how Moonshot may use it.

The 7-day trial

Starter and Pro start with a 7-day trial that includes a small allowance of the engineer (about one session). A card is required. If you don’t cancel before the trial ends, your plan starts and your card is charged on day 7, then every month or year after that. Cancel before then and you pay nothing.

Top-ups

A top-up adds about 6 more sessions of the engineer for $10, paid once, with a plan or with the license. It’s for the current month only, it doesn’t carry over, and it isn’t refundable.

Renewal and cancelling

Plans renew automatically every month, or every year for yearly plans, at the price shown when you subscribed, plus tax where it applies, until you cancel. You can cancel any time from your account, in Ovrtone or at ovrtone.app/account, through Stripe’s billing page. Cancelling stops the next renewal; your plan runs to the end of the month or year you’ve already paid for. The rest of that period, and any allowance you didn’t use, isn’t refunded.

We’ll email you at least 30 days before we raise a plan’s price or lower its allowance. The change applies from your first renewal after that, and you can cancel before it does.

If a plan ends

When a plan ends and you don’t hold the license, Ovrtone opens the projects you last saved in it read-only until you subscribe again or buy the license: you can play them, bounce them and export stems, but not edit them, record or use the engineer. Your recordings are always plain audio files in your project folders, whatever happens to your plan.

Payments, refunds and disputes

Ovrtone is sold through Link, Stripe’s checkout service, which is the merchant of record. Link takes your payment, adds sales tax or VAT where it applies, sends your receipts and handles disputes; we never see your card. Link’s own terms apply to the purchase.

All sales are final. The license, plans (monthly or yearly) and top-ups aren’t refundable, including a partial period or allowance you didn’t use, except where the law requires a refund or Link’s terms provide one. Where the law gives you a right to cancel a purchase of digital content, Link’s checkout tells you how it applies. Questions about a charge: support@ovrtone.app.

While a dispute or chargeback on a payment is open, the engineer is paused until it’s settled. If a payment is refunded, or a dispute is lost, what it paid for ends: a refunded license, plan period or top-up is removed.

Referrals

Every account has its own referral link. When someone new to Ovrtone creates an account through your link and makes their first successful payment, you get a reward:

You can earn up to 12 rewards in any 12 months. The person you refer gets the usual trial, nothing extra. You see how many rewards you’ve earned, not who joined. You can’t refer yourself or your own other accounts. If the payment that earned a reward is refunded or disputed within 30 days, the reward is cancelled if you haven’t used it yet. Rewards have no cash value and can’t be transferred or exchanged. We may refuse or reverse rewards earned through fake accounts, spam or other abuse, and we may change or end the program; rewards you’ve already earned stay yours to use.

When you share your link, say that you get a reward for it, right beside the link, for example: “I get a free month of Ovrtone if you join through my link.” Don’t spam people, put your link in ads that use Ovrtone’s name, or present yourself as Ovrtone.

What the license lets you do

We give you a personal, non-exclusive, non-transferable license to install and use Ovrtone on Macs you use, for any music you make, personal or commercial, while you hold the license or a plan (or read-only, as above).

You may not:

Your music and your plugins

What you make with Ovrtone is yours: recordings, projects, mixes and MIDI. We claim no rights in it and don’t use your projects to train AI; the AI company that runs the engineer may use what the engineer sends it, as our privacy policy describes. Plugins the engineer writes for you are yours to use and keep; the Ovrtone code they’re built on stays ours and comes with your license. Plugins from other makers (your AU and VST3 plugins) are under their makers’ licenses; Ovrtone hosts them, but we aren’t responsible for them.

The engineer is an AI

The engineer measures your audio and follows your instructions, and it shows bigger changes as a plan you can hear before you keep it. It can still be wrong, and you decide what to keep. Listen at safe levels: the safety limiter on the master helps, and it’s on unless you turn it off.

Open-source and third-party parts

Ovrtone is closed source. It includes software from others under their own licenses, including JUCE, Tracktion Engine and Steinberg’s VST3 SDK. The list, with each license, is in Ovrtone’s About window and its “Licences” folder. Where a component’s license gives you rights, those rights apply and nothing here limits them. In particular, SoundTouch and LAME are under the GNU Lesser General Public License: you may modify them, and reverse engineer Ovrtone as far as needed to debug your changes, for your own use. Their source is inside the app.

Accounts

You need an Ovrtone account to buy the license or a plan. One person per account. Keep your sign-in to yourself; you’re responsible for what happens under your account. You must be old enough to make a contract where you live, and at least 13.

Updates

Ovrtone checks for updates and installs them when you agree. Crash reports and usage statistics are sent only if you say yes, as our privacy policy describes.

Warranty and liability

We work to make Ovrtone reliable, but it’s provided “as is”: as far as the law allows, we don’t promise it’s free of bugs, works with every plugin or audio device, or suits a particular purpose. Keep backups of your projects.

As far as the law allows, we aren’t liable for lost profits, lost data or indirect damages, and our total liability is limited to what you paid us in the 12 months before the claim. None of this limits rights you have under consumer law that can’t be excluded.

Ending these terms

You can stop using Ovrtone at any time. We may suspend or end your account if you seriously break these terms, and we’ll tell you why. If we end it without cause, we’ll refund the part of a plan period you’ve paid for and haven’t used. The parts about your music, liability and the law survive the end of these terms.

Changes

When these terms change, we’ll update them here with a new effective date. If a change matters for account holders, we’ll email them before it takes effect.

The law

These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. If you’re a consumer, you keep the protections of the law where you live.
